1. Acceptance of Terms
By accessing, registering for, uploading content to, or otherwise using the Website, you agree to be legally bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Website.
2. Eligibility – Canadian Artists Only
Submissions are restricted to Canadian artists and bands only. You represent and warrant that you are a Canadian citizen or permanent resident, or a band primarily based in Canada with Canadian members. Vista may request proof of eligibility at any time.
3. License Grant
By submitting music, artwork, biographies, images, metadata, or other materials (“Submitted Content”), the Artist grants Vista Radio Ltd. a worldwide, royalty-free, non-exclusive license to host, reproduce, stream, distribute, broadcast, rebroadcast, publicly perform, promote, advertise, and otherwise use the Submitted Content across Vista-owned and operated radio stations, websites, digital platforms, social media channels, and related promotional materials.
This license continues for as long as the Submitted Content remains available on the Website, and for reasonable archival and promotional purposes, subject to the Artist’s right to request removal in accordance with these Terms.
4. Moral Rights and Integrity of Work
The Artist retains all moral rights in the Submitted Content.
The Artist acknowledges and agrees that Vista Radio Ltd. may make reasonable technical, formatting, and promotional modifications to the Submitted Content as necessary for broadcasting, streaming, editing for time constraints, audio normalization, excerpting for promotional use, resizing artwork, or adapting content for digital and social media platforms.
The Artist agrees not to assert any moral rights claim against Vista in connection with such reasonable modifications, provided that Vista does not materially distort or modify the Submitted Content in a manner that would be prejudicial to the Artist’s honour or reputation.
5. No Guarantee of Airplay or Compensation
Submission does not guarantee airplay, promotion, or continued hosting. Vista is not obligated to pay royalties, fees, or compensation for use of Submitted Content.
6. Ownership and Authority
You represent and warrant that you own or control all rights necessary to grant the above license, including rights from co-writers, performers, producers, and collaborators.
7. AI-Generated Content Prohibition
AI-generated music, AI-generated vocals, AI-created band identities, or unauthorized AI artwork are strictly prohibited. All submissions must be created and performed by real human beings.
8. Content Removal
Artists may remove content via Website tools or by written request to [email protected]. Vista will make commercially reasonable efforts to remove content in a timely manner. Archived backups may persist for operational purposes.
9. Indemnification
You agree to defend, indemnify, and hold harmless Vista Radio Ltd., its affiliates, directors, officers, employees, contractors, agents, and radio stations from and against any claims, damages, liabilities, losses, or expenses (including full solicitor-client legal costs) arising from your Submitted Content or breach of these Terms.
10. Limitation of Liability
To the maximum extent permitted by law, Vista’s total liability shall not exceed $100 CAD. Vista shall not be liable for indirect, incidental, consequential, or punitive damages.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of British Columbia and the applicable federal laws of Canada. The courts of British Columbia shall have exclusive jurisdiction.
